Terms of Service

These Terms of Service ('Terms') constitute a legally binding agreement between you ('User', 'Creator', 'you') and GetPaid.page, a Wyoming LLC ('GetPaid', 'we', 'us', 'our'). By creating an account, accessing, or using GetPaid.page (the 'Service'), you agree to be bound by these Terms. If you do not agree, you may not use the Service.
1. Introduction & Agreement
These Terms, together with our Acceptable Use Policy (AUP) and Privacy Policy (collectively, the 'Agreement'), govern your use of GetPaid.page. By registering for an account or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by this Agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Eligibility & Account Registration
To use the Service, you must: (a) be at least 18 years old or the age of majority in your jurisdiction; (b) have the legal capacity to enter into a binding contract; (c) provide accurate, current, and complete information during registration; (d) maintain and promptly update your account information. You may not: (i) create an account using false or misleading information; (ii) share your account credentials with others; (iii) transfer your account without our prior written consent; (iv) create multiple accounts to circumvent restrictions or bans.
3. Description of Services & Our Role
GetPaid provides software tools including: checkout page generation, sales analytics, dashboard reporting, internal ledger tracking, and payout orchestration to external providers. IMPORTANT DISCLAIMERS: (a) We are a technology service provider, NOT a bank, wallet, money transmitter, or payment processor; (b) We do NOT hold buyer funds 'on trust' for creators; (c) We do NOT act as your legal agent except where explicitly required by law; (d) The purchase contract is between the Creator and the Buyer, not between GetPaid and the Buyer; (e) Payment processing and Merchant of Record (MoR) functions are provided by our regulated Payment Partners (Creem, Dodo, Paddle, Bagel Pay); (f) Payout services are provided by regulated providers (Wise, Stripe, LianLian); (g) Our ability to provide Services depends on these partners, and you must comply with their terms.
4. Fees, Payouts & Taxes
PLATFORM FEES: GetPaid charges a platform fee (currently 1% of gross transaction amount). This fee is separate from Payment Partner processing fees. PAYOUT SCHEDULE: Payouts are processed according to our published schedule, subject to minimum amounts and verification requirements. We may require additional KYC/KYB verification and apply tiered limits on payout volumes based on risk assessment. REFUNDS & CHARGEBACKS: (a) Buyers may receive refunds under conditions set by our Payment Partners; (b) Creators bear all payment processing fees and chargeback/dispute fees (typically $15-25 per dispute); (c) When refunds or chargebacks occur, we will deduct the original transaction amount plus any applicable fees from your balance; (d) If your balance is insufficient, we may deduct from future earnings or invoice you directly; (e) GetPaid's platform fee may be refunded at our sole discretion. TAXES: You are solely responsible for reporting and paying any income, VAT, GST, or sales taxes applicable to you and your business, except where a Payment Partner acts as MoR and handles consumer taxes. You authorize us and our partners to collect and remit taxes as required by law.
5. User Content & Intellectual Property
CREATOR RESPONSIBILITY: You are solely responsible for all content, products, and materials you upload, sell, or distribute through the Service ('User Content'). You represent and warrant that: (a) you own or have obtained all necessary rights, licenses, and permissions for your User Content; (b) your User Content does not infringe any third-party intellectual property rights; (c) your User Content complies with all applicable laws and our AUP. LICENSE TO GETPAID: You grant GetPaid a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute your User Content solely as necessary to provide the Service (e.g., display product pages, process transactions, deliver downloads, send transactional emails). This license terminates when you remove your content or close your account, except for content that has been shared with buyers or is required for legal compliance. TAKEDOWNS: We reserve the right to remove any User Content that we believe violates this Agreement, law, or third-party rights, with or without notice.
6. Prohibited Activities & AUP Reference
You must comply with our Acceptable Use Policy (AUP), which prohibits certain activities including but not limited to: sale of illegal products, adult/pornographic content, gambling services, high-risk financial products, fraudulent schemes, and IP-infringing materials. The AUP is incorporated by reference into these Terms. MATERIAL BREACH: Violation of the AUP constitutes a material breach of these Terms and may result in immediate suspension or termination of your account, delayed or forfeited payouts, and reporting to Payment Partners or law enforcement. CONFLICT: If there is any conflict between this Section and the AUP, the AUP controls.
7. Account Suspension, Termination & Funds Handling
SUSPENSION & TERMINATION: We reserve the right to suspend or terminate your account, with or without notice, if we believe: (a) you have violated these Terms, the AUP, or applicable law; (b) you have violated our Payment Partners' policies; (c) there is suspected fraud, money laundering, or other financial crime; (d) there are excessive chargebacks/refunds or unusual activity patterns; (e) we receive a valid legal or regulatory request. FUNDS HANDLING: In connection with suspension or termination, we may: (a) delay or hold payouts for a reserve period (up to 180 days) to cover potential refunds, chargebacks, or fines; (b) retain funds to comply with legal obligations or Payment Partner requirements; (c) return funds to buyers where appropriate; (d) apply funds to outstanding fees or liabilities you owe us. EFFECT OF TERMINATION: Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive (including Sections 5, 8, 9, 10, and 12) will survive termination.
8. Disclaimers & Limitation of Liability
AS-IS SERVICE: THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR UNINTERRUPTED/ERROR-FREE OPERATION. NO GUARANTEE: We do not guarantee that the Service will be available at all times, that it will be free of errors or security vulnerabilities, or that any defects will be corrected. LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) GetPaid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities; (b) GetPaid's total aggregate liability for any claims arising from or related to these Terms or the Service shall not exceed the total fees paid by you to GetPaid in the twelve (12) months preceding the claim; (c) This limitation applies regardless of the legal theory (contract, tort, strict liability, or otherwise). SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR EXCLUSION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE LIMITATIONS MAY NOT APPLY.
9. Indemnification
You agree to indemnify, defend, and hold harmless GetPaid, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your User Content; (b) your use of the Service; (c) your violation of these Terms, the AUP, or any applicable law; (d) your violation of any third-party rights; (e) any dispute between you and a buyer of your products; (f) any claim by a Payment Partner related to your account or transactions. We reserve the right to assume exclusive defense of any matter subject to indemnification by you, at your expense.
10. Governing Law & Dispute Resolution
GOVERNING LAW: These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law principles. JURISDICTION: You agree to submit to the exclusive jurisdiction of the state and federal courts located in Wyoming for the resolution of any disputes arising from these Terms or the Service. INFORMAL RESOLUTION: Before filing any formal claim, you agree to contact us at support@getpaid.page and attempt to resolve the dispute informally for at least 30 days. WAIVER OF CLASS ACTIONS: TO THE EXTENT PERMITTED BY LAW, YOU AGREE THAT ANY CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.
11. Changes to the Terms
We may update these Terms from time to time. When we make material changes, we will: (a) update the 'Last Updated' date at the top of these Terms; (b) notify you via email or in-app notification at least 14 days before the changes take effect (except for changes required by law, which may be effective immediately). Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and close your account.
12. Miscellaneous
ENTIRE AGREEMENT: These Terms, together with the AUP and Privacy Policy, constitute the entire agreement between you and GetPaid regarding the Service and supersede all prior agreements. SEVERABILITY: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. NO WAIVER: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. ASSIGNMENT: You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction. RELATIONSHIP: Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and GetPaid. LANGUAGE: These Terms are drafted in English.
